7.3 As of the date of this Agreement, the currency exchange rate between the U.S. Dollar and the Chinese Yuan is US$1 = X (the “Base Rate”). On the third USA business day of January and June during the Term of this Agreement (each, a “Measurement Date”), the parties shall consult www.xe.com (or, if www.xe.com is no longer operational on a Measurement Date, the parties shall consult the U.S. edition of the Wall Street Journal) to determine the trailing 60-day average currency exchange rate between the U.S. Dollar and the Chinese Yuan on such Measurement Date. In the event the trailing 60-day average exchange rate between the U.S. Dollar and the Chinese Yuan on a Measurement Date differs from the Base Rate by plus (US$1 > X) or minus (US$1 < X) 10% or more of the Base Rate, then the Maximum Price shall be adjusted, to reflect the then current trailing 60-day average currency exchange rate between the U.S. Dollar and the Chinese Yuan as the parties shall mutually agree, intending to maintain a sustainable supply of the artemisinin. In the event that prices are adjusted, the Base Rate shall be changed to equal to the then current trailing 60-day average currency exchange for purposes of assessing a future price adjustment at the next Measurement Date. 求翻译~~T.T
