(2)The company shall not pass a resolution under subregulation unless ti has been recommended by the directors.
(3)the ways in which a sum may be applied for thebenefit of members under sub regulation shall be in paying up any amountsunpaid on shares held by members in paying up in full un issued share ordebentures to be issued to members as fully paid; or partly under paragraph(a)and partly under paragraph
(4)the directors shall do all things necessary to giveeffect to the resolution and,in particular,to the extent necessary to adjustthe right of the members among themselves,may issue fractional certificates ormake cash payments in cases where shares or debentures become issuable infractions; and authorize any person to make,on behalf of all the membersentitled to any further shares or debentures upon the capitalization,an agreementwith the company providing for the issue to them,credited as fully paid up,ofany such further shares or debentures or for the paying up by the company ontheir behalf of the amounts or any part of the amounts remaining unpaid ontheir existing shares by the application of their respective proportions of thesum resolved to be capitalized; and any agreement made under an authorityreferred to in paragraph shall be effective and binding on all membersconcerned.
