42.2 First Right of Refusal.A Shareholder (“Transferring Shareholder”) that wishes to transfer all or any part of its equity in the Company (“Offered Shares”) must provide a written notice (“Transfer Notice”) thereof to the other Shareholder (“Non-Transferring Shareholder”),which constitutes an irrevocable offer to purchase Offered Shares and states the material terms and conditions of the proposed Transfer,including without limitation to the consideration to be received and the identity of the proposed transferee (which may not include the prohibited transferees as per Subsection 42.3(iii) below) (“Proposed Transferee”).Such Transfer Notice shall constitute an irrevocable offer by the Transferring Shareholder.Within sixty (60) days after receipt of the Transfer Notice:(i) If the Non-Transferring Shareholder does not exercise its first right of refusal in accordance with this Subsection (ii),the Non-Transferring Shareholder is deemed to give its consent to the Transfer of the Offered Shares by the Transferring Shareholder to the Proposed Transferee,and the Transferring Shareholder is entitled to finalize the Transfer of the related part or total of the Offered Share to the Proposed Transferee on the same terms and conditions as are specified in the Transfer Notice and pursuant to this Agreement.
