Neither Party shall be responsible for any failure to perform any of its obligations hereunder during any period in which performance is delayed due to any act by any governmental authority,act of war,natural disaster,embargo,riot,civil commotion or act of terrorism that causes complete business interruption (“Force Majeure”),provided that such Party did not cause such event,and gives notice to the other Party of the Force Majeure event as soon as is reasonably practical,but no later than five (5) days after the date on which such Party knew or should have reasonably known of the event,specifying the nature and particulars of the event and its expected duration.The Party claiming a Force Majeure event shall use all commercially reasonable efforts to mitigate its effects,including developing an immediate action plan to continue performance of its obligations under this Agreement.If supplier is unable to perform for a cumulative period of fifteen (15) days or more,OtterBox may at any time thereafter terminate this Agreement and/or any purchase order issued hereunder by notice to supplier,with Buyer’s sole remaining liability being for payment to supplier for any balance due and owing for Product previously delivered by supplier and accepted by Buyer.In the event the Parties do not terminate this Agreement or any purchase orders,the Parties will mutually agree on an extended time for cure.

任何一方都无需承担,因为任何政府机构行为,战争行为,自然灾害,禁运、骚乱、民众暴乱或恐怖行为对商业活动完全造成干扰（“不可抗力”）,而在此期间无法履行其义务造成延期.假设一方没有造成这样的事件,根据合理情况向另外一方通知不可抗力事件,但不得晚于一方知道或有理由知道此事件的5天内,说明事件的性质和特征,及预计持续时间.一方在宣称不可抗力事件后,应尽最大努力减轻其影响,包括根据协议制定近期行动计划来继续履行其义务.若供货方无法履行其义务的累计时间达到或超过15天,OtterBox可以在任何时候终止此协议,和/或向供货商通知下订单,对于之前供货商发货和由买方接受的产品欠款,买方应向供货商予以支付.若双方未终止此协议或任何采购订单,双方应一致协商延期履行.
