This Non-Disclosure Agreement ("Agreement") is entered into by and between Cree LED Lighting Solutions,Inc.,a North Carolina corporation,having offices at 635 Davis Drive,Suite 100,Morrisville,North Carolina 27560 USA,on behalf of itself and its affiliates (collectively referred to below as “CREE”) (referred to below as “Cree”),and SHANGHAI SAINTMAN LIGHTING MATERIAL CO.,LTD.,a Peoples Republic of China company having offices at __________________________________________ (referred to below as “Recipient”).
Cree is engaged in developing and manufacturing advanced materials for semiconductor and other applications and electronic devices and components.Recipient desires to supply products or services to Cree,and Cree is interested in obtaining products or services from Recipient.In its dealings with Recipient,Cree may find it necessary or desirable to disclose,or Recipient may otherwise receive or learn,confidential and proprietary information or materials of Cree.To provide for the protection of such information and materials against unauthorized use and disclosure,Recipient agrees with Cree as follows:
1.For purposes of this Agreement,“Confidential Information” means any information or materials disclosed to or received by Recipient or any of its affiliates,whether in writing or orally or by visual observation,which relates to the business or activities of Cree or any of its affiliates or subsidiaries and is not generally known to the public,including but not limited to manufacturing processes and equipment,product specifications and designs,technical know-how,business and marketing plans,financial information,customer and supplier data and research and development activities.If Cree or any of its subsidiaries or affiliates furnishes information or materials constituting Confidential Information to Recipient for testing or analysis,the term “Confidential Information” includes all data and information generated by Recipient in the course of performing such testing or analysis.To the extent that information or materials constituting Confidential Information are provided by any subsidiary or affiliate of Cree,such entity is an intended beneficiary of this Agreement and can enforce this Agreement to the same extent as Cree.For purposes of this Agreement,“affiliate” or “subsidiary” of a party means an entity which controls,is controlled by,or is under common control with such party,where “control” means the possession,directly or indirectly,of the power to direct the management and policies of the controlled entity,whether through the ownership of voting securities,contract or otherwise.
