ADVERTISING AGENCY AGREEMENT WITH GUANGZHOU BATES (DAHUA) ADVERTISING CO.,LTD.,SHANGHAI BRANCH
1 Appointment
This Agreement sets out the terms upon which you agree to serve us as Bank of Communications’ non-exclusive advertising agency to handle advertising of our Pacific Credit Card Centre’s services and products (the “Services”) as we shall assign to you from time to time.
2 Status
Unless otherwise required by the Law in Clause 19,you shall act as a principal at law under this Agreement and in all contracts,job briefs or projects and the likes relating to the Services made pursuant to this Agreement.
During the term of this Agreement,you will not without our prior written agreement,act for any advertiser of any service or product identical or similar to the Services or who is a direct market competitor of ours,except for The Hong Kong and Shanghai Banking Corporation Limited or any offices,branches or subsidiaries of HSBC Holdings plc..
3 Term of appointment
This agreement shall be deemed to commence on 1st of August,2007 and continue until 31st of December,2008.
4 Agency services
(a) The Services to be provided by your company shall be based on the scope of work of each project as per brief,not excluding the following:
(i) Develop creative work according to our job brief.
(ii) Arrange,and follow-through the preparation and production of advertising materials as stipulated in our job brief.
(iii) Liaise with third parties and suppliers on our behalf as required during the production and implementation stages.
(iv) Check and pay all third party invoices relating to the advertising activities arranged by you in carrying out the services to be provided by you under this Agreement (such payments to be reimbursed by us,as set out in Clause 6(a) below).
(v) Issuance of invoices (including the submission of third parties’ invoices as and when required) according to the approved quotations.
(b) Details of each campaign will be set out in our job brief to you which shall for all purposes form part of this Agreement.

（一）提供的服务,您的公司应根据工作范围,每个项目按简单来说,不排除以下几点：

（二）安排,和后续通过编写和制作广告材料的规定,我们的工作简报.
（三）与第三方和供应商代表我们的要求,在生产和实施阶段.
（四）检查,并支付所有第三方发票有关的广告活动安排你的整改情况进行服务,以提供你根据这项协议（如金,以偿还我们,内容已载列于第6 （ a ）项所指） .
（五）发行的发票（包括提交第三次缔约方发票,并在需要时） ,根据核准的报价单.
（二）详细阐述了每个运动会列在我们的工作,简单给你应就各方面而言,形成该协议的一部分.
