Confidential information or material of IBMor its affiliates shall include,but not be limited,to any information ormaterial:(a) generated or collected by or utilized in the operations of IBM or its affiliates; (b) received from any thirdparty; or (c) suggested by or resulting from any task assigned to me or workperformed by me for or on behalf of IBMor its affiliates,and which has not been made available generally to thepublic,whether or not expressed in a document or other medium and whether ornot marked “IBM Confidential” orwith any similar legend of IBM orany third party.
Confidential information or material may include,but is not limitedto,information and material related to past,present and future development,manufacturing activities,or personnel matters; marketing and business plans;technical specifications,drawings,and designs; prototypes; computer programs;and databases.
2.I will not disclose toIBM or its affiliates,use in their business,or cause them to use,anyinformation or material which is confidential to any third party.In addition,I will not incorporate into any product used and/or sold by IBM or itsaffiliates,any copyrighted materials of any third party,unless suchincorporation by IBM or its affiliates has been authorized.
