By signing this Sales & Purchase Contract Agreement both parties agree to the terms and conditions mentioned in the ICCI non-circumvention and non-disclosure agreement.Therefore,it is a binding requirement that both the parties and/or any of their affiliates shall not disclose any/all the terms mentioned herein and/or thereof,to any person,body,institution,or any other third party,except in so far as disclosure is necessary for the effective performance of this contract or by the written consent of the other party.Both parties agree not to use any other party to circumvent the NCND conditions.Both parties agree to maintain and abide by their respective obligation as mentioned herein.
This non-circumvention and non-disclosure (NCND) Agreement has been agreed by both parties and their affiliates,assignees,nominees,suppliers,mediators,brokers,employees,and other third parties,that this clause shall be valid and remain effective for a period of One year from the date of signing of this contract,and shall be automatically extended for another one year unless otherwise explicitly terminated by either party in writing to the other party.
All parties that are signatories to this contract and other associated parties of the signatories hereby agree not to circumvent the parties that introduced buyer and seller to each other but to uphold this clause which is based on sound international business practices.
