c）Closing and Manner of Payment.The closing of any purchase occurring under this Agreement shall occur no later than thirty (30) days after expiration of the time period specified in subparagraph (b) above for a party to obtain financing to purchase the Stock,or in the case of a purchase by the Offeror pursuant to the second unnumbered paragraph of (b) above,within thirty (30) days after expiration of the time period for the Offeree’s election whether to purchase the Offeror’s Stock.The closing may occur earlier upon ten (10) days written notice from the purchasing Shareholder(s) to the selling Shareholder(s).At the closing,the selling Shareholder(s) shall deliver title to all Stock free and clear of all liens,encumbrances and charges whatsoever.The purchasing shareholder(s) shall pay the entire purchase price in immediately available funds.
d) Amount of Stock to be Acquired.It is expressly understood and agreed by the parties hereto that the exercising of an offer or mandatory sale as provided herein could result in the requirement that the Offeror acquire the Stock of all other Shareholders which are parties to this Agreement,even though one Offeror should offer only his Stock for sale.In the event that the offer of Offeror is accepted by all remaining Stockholders,the Stock of the Offeror shall be divided and sold to the Offeree(s) in proportion to their respective Stock and payment of their prorata share of the purchase price.
